Terms & Conditions
This document governs your relationship with the Online Solution Experts ("OSE"). Set forth below are the terms and conditions under which OSE makes available the Internet website at www.ose.com.au (the “Site”), including all subdomains of that website, and services (the "Services") developed for use by OSE.
These terms and conditions, together with any and all other terms, conditions, rules, policies or procedures ("Additional Terms") published on the site and related to the User's (the "User") use of the Site (together, this "Agreement") which are updated from time to time by OSE, constitute a binding, legal agreement between OSE and the User.
By using the Site or Services, each User hereby agrees to and is bound by this Agreement. If you do not agree with any of the terms of this Agreement, do not access or otherwise use this Site or enquire regarding our Services or any information contained on this Site.
OSE can change the terms of this Agreement at any time (including any Additional Terms). If OSE changes the terms of this Agreement, OSE will post an updated set of terms and conditions of use on this Site.
If any modification to this document is unacceptable to you, you should cease using this Site and any Services developed by OSE. If you do not cease using this Site and any Services developed by OSE, you will be conclusively deemed to have accepted any changes.
Each User hereby warrants that if it is a corporation or other legal entity, the User is validly formed and existing under the laws of its jurisdiction, and is engaging legally with the User(s) of the Site under no false pretences, and does not intend to incur damages on any other User(s) of the Site.
1. Personal Details
OSE at all times protects your personal details by storing this information securely. We make every attempt to ensure your personal information is protected at the highest possible level on our private infrastructure, and do not share your personally identifiable data with any third parties.
2. Subscriptions and Payments
All payments, fees, and subscriptions are handled by our financial provider Westpac. OSE does not store any financial details (credit or debit card numbers) on our systems which may identify you or your customers.
Payments are invoiced either according to an agreed schedule of milestone payments, or invoiced in full once work has been completed and signed off by the client (the "Client").
Payments should be made within 14 days of invoicing once a project is completed. If your terms of payment differ from this, please advise our financial team prior to the signing of any contract with OSE.
In the event a payment is made to OSE, this payment is non-refundable, unless authorised by the Managing Director of OSE in writing.
3. Responsibility of Users
OSE is in no way responsible for the actions of Users of Services developed by OSE. Products that have been developed by OSE have been done so to ensure that minimal inappropriate behaviour is undertaken by any User, however in the event that a User manages to undertake behaviour that is deemed malicious or proves to have a negative effect on the customer (the "Customer"), OSE takes no responsibility for the outcome of that behaviour.
When choosing to utilise our Services, you do so knowing that the responsibility and risk is your own, and in no way is OSE responsible for yours or your User's actions, be they positive or negative.
4. Indemnification
When you choose to use or engage with the Site or any OSE developed Service, you agree that OSE is in now way responsible for any indemnity whatsoever for any perceived or non-perceived, financial or non-financial losses you believe you may have suffered when using a OSE developed Service.
As a result of your choice to use any of OSE’s Services, you agree that no fault is to be claimed against OSE, and that you are engaging with the Service at your own risk. Any perceived loss, financial or otherwise, is at your own risk, and zero compensation will be transferred to any party as a result of using a OSE developed product or service.
5. Ownership and Security of Intellectual Property
Ownership of data and ideas submitted to OSE relating to the creation of any new services during your engagement with OSE are yours and yours alone. OSE does not take ownership of any Intellectual Property created during an engagement with a client, and following final payment all responsibility of the use of that product is yours alone.
During a professional engagement with OSE, you the Client form a partnership where all proprietary products produced as a result of the professional engagement are yours, the Client's.
